Project Description - Provide all architectural documentation as required to obtain a change of use for the facility to be licensed as an assisted living facility by acquiring New Certificate of Occupancy including:

  1. Provide a commercial code review for the residence for the change of occupancy from R-1 to "Assisted Living" probably R3 if it is a wood frame home.
  2. Perform field measurement focused only on as-built floor plans (not measuring overall geometry to give us enough information to generate a full set of construction documents). This proposal assumes there will be no additions or internal modifications of space triggering the necessity for some version of a full set of building plan review. If there were internal modifications or any modification that triggers a full plan review our proposed time would increase. We would verify this in our site visit, propose and reevaluate service fees.
  3. Produce as-built floor plans.
  4. File drawings and code review documents with DLI or local jurisdiction.

Project Scope

SCOPE OF PROJECT

Phase 1 – Site visit, measurements, and photographs

Phase 2 – Produce drawings including floor plans, provide window schedule and door sizes, call out room dimensions, call out stair rise /run and headroom and all information relating to actual data as required to demonstrate code review compliance.

Phase 3 - Provide code review of findings and file documents with Minnesota Department of Labor and Industry Construction Codes and Licensing Division (DLI/CCLD).

  1. Owners Responsibility: Provide a detailed list of spaces to be designed, a certified survey of property including all information required by permitting officials including setbacks and easements. 
  1. Proposed Cost of Services: ZANDU CONSULTANTS will bill for this project a retainer fee of $2500.00. If architectural input is required beyond that described, ZANDU CONSULTANTS will bill at $135.00 per hour for principal consultation, meetings and $105.00 per hour for drawing development. Drive time is billed at $55.00 per hour.
  • Payment: The signed contract copy and initial payment in the amount of $2,500.00 is required to begin work. Initial Payment (Retainer) shall be applied to initial services, correspondence, and meetings. Invoiced payment is due within 14 days of the invoice date. ZANDU CONSULTANTS reserves the right to suspend services for payments not received within that period. Billing occurs biweekly or at the end of phases. Any additional work not mentioned or included above will be billed at the above hourly rate, which, together with the stated fixed fee, is valid for one year. Services required by other service professionals such as structural engineering will be billed at their hourly rate plus a 15% management and coordination fee. ZANDU CONSULTANTS agrees to obtain owners approval in writing or by email before obtaining such services which would include a proposed cost of services.

Project Proposal Agreement - Terms and Conditions

  1. Acceptance of proposal: The Client is the addressee for the project proposal which, together with these terms and conditions, is provided by ZANDU CONSULTANTS. The term Client includes its legal successors, assigns, joint ventures, third party beneficiaries, heirs, etc. In the absence of a signed copy of the proposal, the Client’s authorization to proceed by oral, written, electronic or other means will also constitute acceptance of the project proposal and these terms and conditions.
  • Provision of design documents: As project design begins, the Client will provide ZANDU CONSULTANTS any information that may affect cost and performance of services for the project.
  • Timely provision of design revisions: As project design proceeds, the Client will provide ZANDU CONSULTANTS with any design revisions in a timely manner. ZANDU CONSULTANTS will not be liable if the Client fails to provide any design revisions.
  • Project delays: If ZANDU CONSULTANTS' services are delayed by the Client or by any other causes beyond ZANDU CONSULTANTS’ control, the Client will allow a reasonable time extension for completion of services.
  1. Liability insurance: ZANDU CONSULTANTS carries general and professional liability insurance. A certificate of insurance can be provided upon request.
  • Limitation of services: ZANDU CONSULTANTS does not provide any construction management or general contracting services. ZANDU CONSULTANTS is not responsible for supervising the contractor’s work. Any site visits will be for the purpose of observing the in-place construction only.
  • Notification of any errors or omissions: The Client will promptly notify ZANDU CONSULTANTS of any errors or omissions in services, so that immediate measures can be taken to correct the errors.
  • Maintenance of records: ZANDU CONSULTANTS will maintain project records for at least five years following completion of services.
  1. Payment: The Client will pay ZANDU CONSULTANTS invoices within 14 days of each invoice date. The Client will communicate any questions or concerns regarding an invoice within 7 days of the invoice date.
  • Interest due: Beginning 30 days after the invoice date, interest will accrue on any past due invoice at 1.38% per month.
  • Termination of agreement: Either party may terminate this agreement for good cause, such as non-payment of an invoice, by giving written notice. The Client agrees to pay ZANDU CONSULTANTS any outstanding invoice amounts for work completed prior to the termination date, as well as any collection expenses, including reasonable attorney fees, etc.
  1. Claims or disputes: The Client and ZANDU CONSULTANTS agree that any claim or dispute arising out of this agreement will be subject to mediation prior to any arbitration or other legal proceedings. The mediator shall be acceptable to both parties and shall be experienced in construction issues. Both parties will share the mediation fees equally.
  • Limitation of liability: The Client agrees to limit ZANDU CONSULTANTS' total liability arising from any proven negligent acts or errors or omissions to the amount stated in the proposal.
  • Litigation fees: If litigation is initiated against ZANDU CONSULTANTS and charges are dismissed or judged substantially in ZANDU CONSULTANTS’ favor, the Client will reimburse ZANDU CONSULTANTS for defense costs, including, but not limited to, attorney fees, expert witness fees and court costs.
  • Indemnification: ZANDU CONSULTANTS agrees to hold harmless and indemnify the Client against liability arising out of ZANDU CONSULTANTS’ negligent performance of services. The Client agrees to hold harmless and indemnify ZANDU CONSULTANTS from and against liability arising out of the Client’s negligent conduct.
  1. Entire agreement: This proposal, together with these terms and conditions, constitutes the entire agreement between the Client and ZANDU CONSULTANTS . Any modifications to this agreement must be in writing and signed by both parties.
  • Governing law: This Agreement shall be construed, and the rights of the Client and ZANDU CONSULTANTS shall be determined, in accordance with the laws of the State of Minnesota.

Marketing: ZANDU CONSULTANTS reserves the right to produce, maintain and use: Before, During and After Construction images of the project for marketing purposes. Marketing materials remain sole property of ZANDU CONSULTANTS .
